Krakul OÜ (“Krakul“), a subsidiary of AS Bercman Technologies (“Bercman“), has signed a contract with Harju Elekter Group AS (“Harju Elekter”) for the development of an alternating current charger for electric vehicles.
The contract includes development work for a next-generation alternating current (AC) charger for electric vehicles, from concept and prototyping to a final product ready for mass production.
The estimated time for completing the contractual work is one year. The approximate value of the contract is EUR 1 million, exclusive of VAT.

The consolidated revenues of Bercman Technologies AS (hereinafter “Bercman“) for the third quarter of 2024 amounted to EUR 326.567 (-19% compared to Q3 2023: EUR 403 272).
Mart Suurkask, CEO of Bercman: “The third-quarter sales results were affected by administrative delays on the client side in large key projects related to procurement procedures and tender projects, as well as a slight slowdown in client development activities. We are pleased to note that the defence sector has shown resilience amid broader economic challenges, with companies in this field maintaining a steady demand for innovative solutions. Our development team has been fully supportive in assisting these companies with product development.”
In the third quarter, development services were exported not only to serve Estonian clients but also to markets in Norway, Sweden, Finland, Singapore, and Switzerland. The focus on strategic projects, particularly in the defence sector, increased the share of defence industry clients in revenue. There has also been a growth in the volume of development work related to the energetics sector.
In the third quarter, the primary focus for proprietary products was on the development and sales activities of electric vehicle fast chargers. The 300-kW fast charger was introduced at the ICNC24 conference and networking event held in Berlin in early September. The work related to electric vehicle fast chargers has reached a stage where preparations are being made for scaling up sales activities and production. The sales team has signed the first agreements for supplying chargers to the Norwegian market.
A tender was won in the third quarter for installing three smart pedestrian crosswalks in Benkovac, Croatia, with the installation work scheduled for the first quarter of 2025. The fulfillment of a smart pedestrian crosswalk sales order secured in Trikala, Greece, is planned for the fourth quarter of this year. Additionally, amendments were submitted to the European Patent Office to protect the intellectual property related to the methodology of the monitoring and analysis component for the smart pedestrian crosswalk system.
To expand the sales network and promote the company’s development services, participation took place in the joint Estonian-French defence industry event last quarter, which brought together 19 companies from France and 37 from Estonia to strengthen bilateral cooperation.
Revisions to the Company’s Sales Forecasts for 2024
According to Bercman’s stock exchange announcement on March 3, 2023, the sales forecast for the current year was set at €2.5 million. However, after evaluating the sales results from the first three quarters and considering the projected sales revenue for the fourth quarter, the company’s management has decided to revise the 2024 sales forecast from €2.5 million to €1.8 million. This adjustment still represents an estimated 8% growth in sales compared to the previous year.
Mart Suurkask: “This year’s sales results have fallen below the planned forecast. This is primarily due to the timeline for the smart pedestrian crosswalk orders from tenders that were won not being realised for reasons beyond our control. As a result, we decided to adjust the 2024 sales forecast to a lower figure than initially planned. We expect the deferred tender orders to materialise by the end of this year and in 2025. Following a quieter summer period, new long-term development projects are also starting up, and for the next year, we anticipate growth in sales activities related to electric vehicle fast chargers.”

Bercman Technologies (hereinafter “Bercman”) announced its unaudited consolidated results for the first half of 2024. Bercman’s consolidated turnover in the first six months of 2024 was 692,332 euros. In the comparable period of 2023, the turnover was 869,295 euros.
Management report
In the first six months of 2024, in addition to serving Estonian customers, development services were exported to Sweden, Finland, Singapore, Norway, Switzerland, the United States and Ireland as a new market.
The provision of development services was led by clients from the field of defence, but the activation took place mainly in all client sectors, and the growth trend was shown by the share of medical technology and energy areas in the service portfolio. At the beginning of the year, the narrower focus of the services was on providing Regulatory as a Service to organise the regulatory compliance assessment and execution of electronic products.
As for the Company’s proprietary products, plans for the production of fast chargers for electric vehicles were unveiled in June, and a separate subsidiary, Bercman Energy, was registered. Bercman Energy focuses on the production and sale of fast chargers with high charging capacity.
Smart pedestrian crosswalks were exported to Greece, the city of Lamia and installation work on pedestrian crosswalk safety systems was carried out in Croatia, Greece, Australia and Estonia.
To promote sales activities and map new business opportunities, a defence sector high-level visit was carried out in Sweden in the first half of the year together with the Estonian Minister of Defence and a delegation of companies in the defence sector. Bercman visited the electronics conference Elektronik in Sweden, a networking event for Norway’s maritime and aquaculture industries and a roundtable of Estonian and Finnish electronics companies.
In Estonia, a meeting was held with the Japanese company Toyota Connect to discuss cooperation opportunities. The team participated in sTARTUp Day and the MELT innovation forum in Estonia. The smart road solution was introduced at the ITS Estonia round table, the seminar of the Estonian Infrastructure Construction Association and the road safety roundtable of the Transport Administration.
Financial results
The reporting period ended with a loss in the amount of 350,532 euros (for 6 months 2023, the loss was 160,384 euros). As of 30.06.2024, the consolidated balance sheet total of the company was 1,677,031 euros (30.06.2023: 1,773,760 euros). Current assets amounted to EUR 332,898 (30.06.2023: EUR 475,867). The volume of fixed assets was 1,344,133 euros (30.06.2023: 1,297,893 euros). As of 30.06.2024, the company’s equity was 867,382 euros (30.06.2023: 1,204,433 euros). As of 30.06.2024, the company had 68,935 euros of loan liabilities (30.06.2023: 72,023 euros).
Team
As of 30.06.2024, there is one member of the Management Board, three of the Supervisory Board in Bercman, one of the Management Board in Krakul and one of the Management Board in Bercman Energy. In total, the Group employs 24 specialists in their field, and two external experts provide business development and sales support. The group’s labour costs, including labour taxes, amounted to EUR 632,111 in the first half of 2024 (6 months 2023: EUR 572,825).

The consolidated revenue of Bercman Technologies for the second quarter of 2024 was 390,884 euros, an increase of 2% year-on-year. In the comparable period of 2023, sales revenue amounted to €382,667. Consolidated sales revenue for the first half of 2024 amounted to €737,449 (6 months 2023: €869,294).
Mart Suurkask, CEO of Bercman: “The prolonged economic downturn has kept uncertainty in the plans of our customers, but the second quarter showed above all a recovery in the activities of our development services customers, and in recent months we have received many enquiries for the provision of development services to both existing and new customers. On the proprietary side, the last quarter marked our entry into the fast-growing electric vehicle charger sector, and we plan to introduce a new fast charger as early as this autumn.”
In addition to serving Estonian customers, development services were exported to Sweden, Finland, Singapore, Norway, Switzerland, the United States and Ireland in the second quarter. Defence sector customers led the way in the provision of development services, but interest and demand for development services increased in other sectors as well.
In terms of proprietary products, in June, Bercman announced plans related to the production of fast chargers for electric vehicles. A separate subsidiary, Bercman Energy OÜ, was registered in June (see link for the announcement), which will focus on the production and sale of high-capacity fast chargers. In addition to the development of sustainable charging solutions, Bercman continues to offer smart infrastructure solutions. In the second quarter, a smart crosswalk was delivered to the city of Lamia, Greece, and smart crosswalks were installed in Croatia, Greece and Australia. In Estonia, the installation of a smart safety system is planned for the Pärnamäe kindergarten in Viimsi, for which the corresponding tender closed in the second quarter.
Bercman participated in an electronics conference Elektronik in Sweden, the MELT innovation forum in Estonia and a networking event for the marine and aquaculture industry in Norway, to promote sales and expand new business opportunities. The Smart Road solution established in Põlva was introduced at the Transport Administration’s traffic safety roundtable, and a delegation from the Transport Administration was hosted on-site in Põlva.
To meet the development demands of clients, new software engineers will be brought into the team, whose recruitment was a key focus of personnel matters in the second quarter.

New firm´s main activity is producing and selling fast chargers for electric vehicles.

The new product expands Bercman’s portfolio of proprietary products and adds electric vehicle fast chargers developed by the company’s development team to the existing Smart Pedestrian Crosswalk.
Development work for the launch of Bercman Energy fast chargers has been underway for a year and the first products are scheduled to be delivered to customers by the end of September.
The production of fast chargers will start in Estonia, but to meet the rapidly growing market demand for fast chargers, Bercman has made an initial agreement with a partner with extensive experience in electronics manufacturing.
To accelerate the speed to market of fast chargers, up to 25% of the company has been set aside for external investment, of which nearly half of the volume, amounting to a quarter of a million euros, has been secured to date. This will leave further scope for co-investment by those interested in the sector.

The consolidated revenue of AS Bercman Technologies for the first quarter of 2024 was 346 564 euros. Consolidated revenue for the first quarter of 2023 was EUR 486 627.

The recession, which has lasted for several quarters, has not allowed for volume growth in work for existing clients, and the major developments we plan to start in the coming months remained in the preparatory phase during the first months of the year. At the same time, however, our development services client portfolio is the largest in history, and we have won tenders with a record volume in the export markets for smart crosswalks. The year has started on a positive note in terms of prospects, and we will be sure to keep you informed of ongoing developments through our stock exchange releases.“
In the first quarter, development services were exported to Singapore, Sweden, Finland, the United States, and Ireland, in addition to serving Estonian clients. Ireland represents a new market where services related to product development were sold to a new client in the medical industry. Alongside ongoing projects, the beginning of the year was primarily characterised by consulting on pre-projects, and sales work, together with the preparation of extensive product development proposals. Regarding services, there was a narrower focus on offering Regulatory as a Service for assessing and managing the regulatory compliance of electronic products.
In the first quarter, the focus for our own products was on the maintenance and software update work for previously installed smart crosswalk devices. Proposals for installing smart safety systems were sent to Latvia and Greece. The smart city sector tenders won in international markets last year are expected to materialise in the upcoming quarters.
To promote sales activities and expand new business opportunities, participation was made in network events such as sTARTUp Day in Tartu, the Estonian-Finnish electronics companies roundtable, and the DefenceTech seminar organized by the Estonian Founders Society in Tallinn. In Sweden, a high-level defence visit was made along with the Estonian Minister of Defence and a delegation of defence sector companies.
The comprehensive smart road solution, consisting of smart crosswalks and an urban average speed measurement system, was presented at the ITS Estonia roundtable, the Estonian Infrastructure Construction Union seminar on ‘Innovation in Road Construction’, and a seminar mapping the needs for green innovation at Tartu Science Park. A meeting with representatives from the Japanese company Toyota Connected took place, where possibilities for collaboration on development services were discussed.
To support the succession of engineers, the development team participated in the open house event at Tallinn University of Technology, presenting software, electronics, and mechanical engineering work and activities to future engineers. The topic of engineering succession was also a focus at the Estonian Electronics Industries Association’s council meeting in March.

Bercman Technologies AS (hereinafter “Bercman“) submits the consolidated and audited financial reports for 2023 prepared by the Management Board.
Compared to the unaudited interim report published on 01 March, there are differences in the financial results of the audited annual report. The changes result from the recognition of capitalised labour costs as fixed assets in the audit process.
Bercman’s sales revenue of the 2023 was 1 669 403 euros (1 669 403 euros in unaudited interim report). For the comparable period in 2022, turnover was EUR 1 735 991.
The reporting period ended with a loss of 253 796 euros (the loss in interim report: EUR 250 465; the loss in 12 months of 2022: EUR 774 226). The loss was due to the tough economic environment in 2023 and the resulting reduction in development work for customers.
As of 31.12.2023, the company’s consolidated audited balance sheet total was 1 827 929 euros (Interim report 31.12.2023: EUR 1 744 169; 31.12.2022: EUR 1 659 545). Current assets amounted to 391 881 euros (Interim report 31.12.2023: EUR 391 881; 31.12.2022: EUR 571 255). Fixed assets amounted to 1 436 048 euros (Interim report 31.12.2023: EUR 1 352 287; 31.12.2022: EUR 1 088 290). The company’s equity as of 31.12.2023 was 1 187 914 euros (Interim report 31.12.2023: 1 117 466; 31.12.2022: EUR 1 057 959). As of 31.12.2023, the company had 77 720 euros in loan liabilities (Interim report 31.12.2023: EUR 54 398; 31.12.2022: EUR 77 484).

AS Bercman Technologies (hereinafter “Bercman”) announces its unaudited consolidated results for the second half and 12 months of 2023. Bercman’s unaudited consolidated sales revenue for the second half-year of 2023 was EUR 800 108, compared to EUR 962 306 for the same period in 2022. Total consolidated turnover for 2023 was EUR 1 669 403 (2022: EUR 1 755 741). As of 2022, the consolidated sales results also include the turnover figures of the Bercman Group’s subsidiary Krakul OÜ (hereinafter “Krakul”).
New markets and expansion in existing markets
In the second half of 2023, in addition to servicing Estonian customers, development services were exported to Sweden, Finland, Singapore, the United States, Germany and the United Kingdom, with development services being sold to the German market for the first time.
In cooperation with Aerones, a Latvian developer of wind turbine maintenance robots, funding (for a total amount of EUR 80 000) was obtained for the development of a wind turbine lightning protection system maintenance robot within the framework of the European Union’s Silicon Eurocluster initiative.
The focus in development services was on the defence sector, and two new defence clients were added to the client portfolio. The share of medical technology and energy in the service portfolio is also on an upward trend.
On the proprietary side, smart crosswalks were exported and installed in Finland, Bosnia and Herzegovina, Scotland and Greece. In Estonia, an additional smart crosswalk was installed in Elva. Procurement of smart mobility infrastructure was carried out in Greece and Croatia, with the Croatian distributor focusing on the sale of hybrid energy-powered pedestrian crossings to be completed in Q2 2024. In Greece, tenders for the installation of smart pedestrian crosswalks in the cities of Lamia and Chaidar, were won. In addition to the existing markets, contacts were launched with the municipality of Barcelona for the installation of the first smart crosswalk.
At the beginning of the second half-year, a contract was signed for the construction of the Põlva smart road. The works under the contract were completed by the end of 2023. The Põlva smart road is a special solution for a 2.5 km stretch of road in the centre of Põlva, consisting of 14 Bercman smart crosswalks with statistics collection capabilities and an average speed measurement solution. In addition, an innovation project between Tehnopol and the city of Kohtla-Järve in Estonia completed the testing of an innovative smart crosswalk solution with a hybrid power supply and anonymised data collection capability.
To promote sales and map new business opportunities, Bercman participated in Estonia’s joint stand at the world’s largest technology fair, Gitex Global, in Dubai and the world’s largest smart city fair, Smart City Expo, in Barcelona. In addition, the Company’s team took part in the Oslo Innovation Week, the Eastern Sweden Innovation Week in Norrköping, the IPC EMS Day networking events in Tallinn and the Estonian Defence and Aerospace Industries Association’s information day in Paldiski.
Economic results
The reporting period ended with a loss of 250 465 euros (12 months 2022 the loss was EUR 731 282). As of 31.12.2023, the company’s balance sheet total was 1 744 169 euros (31.12.2022: EUR 2 008 262). Current assets amounted to 391 881 euros (31.12.2022: EUR 557 671). Fixed assets amounted to 1 352 287 euros (31.12.2022: EUR 1 450 591). The company’s equity as of 31.12.2022 was 1 117 466 euros (31.12.2022: EUR 1 468 769). As of 31.12.2023, the company had 54 398 euros in loan liabilities (31.12.2022: EUR 73 658).
The second half of the year was impacted by the reduction or suspension of development activities by existing clients in our client portfolio in response to the overall economic situation and difficulties in raising capital. In the context of the slowdown in client development activity, the focus was on optimising operating costs and improving the efficiency of the organisation’s operations. The second half of the year was positively impacted by an increase in sales of proprietary products.
Team
As of 31.12.2022, there is one member of the Management Board, three of the Supervisory Board in Bercman, and one of the Management Board in Krakul. In total, the Group employs 23 specialists in their field, and two external experts provide business development and sales support. The Group’s labour costs with labour taxes amounted to 1 040 848 euros (12 months 2022: EUR 1 336 499).

The consolidated revenue of Bercman Technologies AS (hereinafter “Bercman”) for the fourth quarter of 2023 was 396 836 euros (Q4 2022: EUR 469 549). Consolidated revenue for the 12 months of 2023 was EUR 1.67 million (EUR 1.73 million in 2022).

In Põlva, we completed a unique smart road that is the first of its kind in the world, and in Kohtla-Järve, we piloted a hybrid energy solution for smart pedestrian crosswalks. We are almost ready of starting the export of these solutions. In terms of development services, we focused on diversifying our client portfolio in the fourth quarter. As a result of our consistent sales efforts, we believe we have established a strong customer base for the year 2024.”
In addition to serving Estonian customers, development services were exported to the markets of Germany, Sweden, the United Kingdom, Singapore and the United States in the fourth quarter. Our development team was visited by a delegation from the Gyeongnam Technopark in Korea, to map out and promote collaboration opportunities with high-tech companies in South Korea.
On the proprietary side, the smart crosswalk devices were exported to Greece. Bercman participated in smart traffic infrastructure tenders in Greece and Croatia, with a focus in Croatia primarily on the sale of hybrid energy-powered crosswalks, which are expected to be ready in the second quarter of 2024. In addition to existing markets, communication has been initiated with the Barcelona city government for the installation of the first smart crosswalks in the city of Barcelona, which has a population of 1.62 million.
In Estonia, the Smart Road, a special solution developed as part of an innovation project conducted by Põlva municipality, was completed in the fourth quarter. The smart road consists of 14 Bercman Smart Pedestrian Crosswalks with statistics collection capabilities and an average speed measurement solution (see Bercman’s announcement 04.01.2024). In addition, an innovation project between Tehnopol and the city of Kohtla-Järve has been completed, piloting Bercman’s innovative smart crosswalk solution with hybrid power supply and anonymised data collection capabilities. The City of Kohtla-Järve decided to continue using the piloted solution for smart crosswalks. In order to promote sales and map new business opportunities, in the fourth quarter Bercman team participated in Estonian joint stand at the world’s largest technology fair Gitex Global in Dubai and the largest smart city fair Smart City Expo in Barcelona. In addition, we participated in the East Sweden Innovation Week held in Norrköping and the IPC EMS Day networking events in Tallinn.

Bercman Technologies has completed and handed over the Põlva Smart Road innovation project to the Põlva Rural Municipality Government in southeastern Estonia. The Põlva smart road was built with the aim of increasing traffic safety and piloting an innovative solution for measuring urban average speeds, in conjunction with smart pedestrian crosswalks. The project was carried out and co-financed using funds from the European Regional Development Fund, under the measure ‘Enhancing the Local Socio-Economic Impact of R&D and Innovation Systems and Smart Specialization in Growth Areas (ICT + Health + Resources)’. The contract’s total cost, including VAT, was 167,980 euros, with 50% of the budget comprising a grant from Enterprise Estonia (EAS).
The Mayor of Põlva, Martti Rõigas, expressed great satisfaction with the completion of the smart road. “The innovation tender was initiated primarily with the objective of ensuring that every resident of Põlva feels safe while moving on the streets,” said Rõigas.
The head of the technology company that developed the solution, Mart Suurkask, also expressed contentment with the achievement and highlighted the global uniqueness of the Põlva smart road. “The small town of Põlva has taken a leading role in traffic safety innovation, and the solution we have developed is, to our knowledge, not in use anywhere else in the world,” stated Suurkask. He added: “Põlva is an excellent location for the smart road solution, as the town is traversed in its entirety by a main street with many pedestrian crossings, and a continuous flow of traffic through the town center.”
As part of the smart road project, the Bercman’s proprietary Smart Pedestrian Crosswalk safety system, equipped with traffic data collection capabilities, was installed on 14 unregulated pedestrian crossings along Kesk and Jaama streets in the center of Põlva. This includes partial equipping of the crosswalks with vehicle number recognition cameras for measuring average speed. Thus, a cost-effective, comprehensive solution for measuring average speed within the city was created.
The mayor of the municipality with 13,500 residents, Rõigas, emphasized that although it may sometimes seem that the traffic environment in Põlva town centre is already sufficiently safe, the data from the smart road solution also presents facts that offer a different perspective. “On the first day of the test period, we identified a vehicle that sped through the center of Põlva at a speed of 80 km/h,” the mayor highlighted as a concerning fact and added that this is not the only instance of detected speed limit violations.
The method of measuring average speed independently has been repeatedly researched and tested on highways around the world for traffic calming, accident prevention, and mitigation. “Based on previous practices, we see this as an effective method,” said Suurkask. He explained that for measuring average speed, the smart road is equipped with 10 number recognition cameras in both directions, distributed at five measuring points. Over the 2.5 km stretch, the time taken to traverse the section is calculated using data from the cameras at both ends. This information is then displayed to the driver, indicating whether the speed was within the legal limit or exceeded.
However, measuring average speed is just one aspect of the smart road solution, as the cameras are integrated into a comprehensive system with intelligent pedestrian crosswalks. These crossings signal with a light indication when a pedestrian is crossing and additionally collect anonymised statistics on traffic density, such as counting pedestrians crossing the road and vehicles passing through the crossings. The smart road is also equipped with a measurement point for collecting environmental data. This includes information on temperature and humidity, as well as more detailed data on air quality indicators like O3 and NO2 levels, and the concentration of particulate matter in the air.
The importance of the data collected by the smart road is specifically highlighted by the Mayor of Põlva. “The anonymised data collected by the devices will provide us a basis for making smarter decisions in the future,” stated Rõigas. He added, “The entire smart city concept is based on informed decisions made from data. With the smart road, we are taking a significant step towards more conscious planning.
According to the technology company’s updated data protection impact assessment in September 2023, the anonymised data collected via the smart pedestrian crosswalk devices do not pose a threat to individuals’ rights and freedoms.
The smart road was completed at the end of 2023, according to Mart Suurkask. “The pedestrian crosswalks detect pedestrians and alert drivers with LED lights, and the cameras measure the average speed of vehicles and collect anonymised traffic statistics,” stated Suurkask. He added that looking ahead, these crosswalks have the potential to integrate with V2X communication technologies, enhancing vehicle-infrastructure interaction.

Kohtla-Järve, the only municipality in Ida-Virumaa actively participating in Tehnopol’s smart city innovation competition, tested a unique innovative system for over half a year – Bercman Technologies’ smart crosswalks. By the end of the pilot period, it was clear that the system is a useful tool, and the city plans to continue its use.
Bercman Technologies’ crosswalk collects anonymous information about nearby traffic using a smart built-in module. This allows the city to monitor vehicle speeds and directions in real-time and for post-analysis. Based on the collected data, summaries can be made by vehicle type and additionally count cyclists and pedestrians. The city has access to Bercman’s data management software, which displays comprehensive and visual traffic statistics for easier monitoring. This data helps make traffic management decisions to make travel smoother and safer on the road.
“To create new profitable jobs in Kohtla-Järve, we need to invest more in innovation that helps create new smart solutions. Quality decisions are based primarily on data analysis, not just assumptions. Therefore, I find the use of Bercman Technologies’ smart crosswalk radars and sensors very important, as we can make more considered and better decisions based on their data,” said Kohtla-Järve Mayor Henri Kaselo.
The system revealed that in six months, nearly a million vehicles passed through one installation area, Järveküla Road 70. In addition to collecting other data, the system also recorded violations, including speeding, and counted pedestrians crossing the road.
“This solution is an important input for constructing a building project, as its statistics can be used for traffic studies. The collected statistical data provides an overview of traffic intensity, speeding, pedestrian numbers, etc.,” added Kohtla-Järve Deputy Mayor Aleksandr Keivabu.
“Kohtla-Järve has become a role model for other municipalities in Ida-Viru County, and we continue to await participation from other cities in Ida-Viru County. Recently, Pärnu joined the innovation competition, and this is a huge contribution to the use and development of technology. We hoped that Narva or Sillamäe would also join the competition, but Pärnu was quicker in this case, having seen the results of Kohtla-Järve,” said Olga Kurdovskaja.
According to her, it is important for companies like Bercman Technologies to refine their products, improve them with new developments, and this can be done with the help of urban space where smart solutions can be tested with real users.
Mart Suurkask, head of Bercman Technologies, emphasised that pedestrian safety has always been a priority for them in the case of smart crosswalks. “I sincerely believe that it is now safer for pedestrians in Kohtla-Järve to cross the road, and the data could be useful for the municipality to make considered decisions,” he said.
The Kohtla-Järve innovation competition began in 2021. The purpose of the innovation competition is to modernize the urban environment of Kohtla-Järve, making it more sustainable and comfortable for residents.

Bercman’s subsidiary Krakul, an Estonian developer of IoT and autonomous systems, is partnering with Latvian company Aerones to develop a prototype device that detects open circuits in wind turbine lightning protection systems. This development is funded by a €80,000 grant from the European Union’s “Silicon Eurocluster” project.
The “Silicon Eurocluster” initiative aims to strengthen micro- and nanoelectronics sectors in Europe and promote environmentally friendly, sustainable, and digital solutions. Krakul teamed up with Latvian company Aerones, known for developing wind turbine maintenance robots, in a competition. In October, 12 projects were selected from 61 European consortia, each of which will receive €80 000 for development.
Kristjan Tozen, the CEO of Krakul, stated that the collaboration began following an initiative by Aerones, which was seeking a development partner. “Krakul’s engineering team impressed us, especially with their work on the ESTCube-1 Estonian satellite project,” commented Lauma Blūmentāle, Aerones’ project manager.
For Krakul, which has realized over 100 smart product development projects, the decision to join was straightforward. “Aerones is an exciting company in an important sector, and the work is intriguing for our engineers,” added Tozen.
The Estonian-Latvian joint project aims to develop a device that can detect open circuits in lightning protection systems with 500 mm accuracy using radio communication technology. The completed prototype will be tested, validated, and demonstrated in a working environment, enabling efficient repair of wind turbine rotor blades and potentially benefiting other industries using lightning protection systems. The development process focuses on environmental sustainability and component recyclability.
Krakul’s role in the project involves preparing the prototype’s test plan, conducting accuracy tests for fault detection, and ensuring compliance with European Union standards. The project is expected to conclude by June 2024.
Following the solution’s validation, Tozen indicated that the Latvian partner plans to launch the developed system in the market. Aerones, a world leader in robot-based maintenance and inspection services for wind turbines, currently serves over 50% of the global wind turbine market. “The new solution will not only strengthen Aerones’ position in the field but will also allow them to cover an even broader spectrum of tasks in wind turbine maintenance,” said Tozen.
Both Latvian and Estonian teams are optimistic about future collaborations. Blūmentāle found the partnership with Krakul’s development team very productive and is open to future joint projects. Tozen echoes this sentiment, adding, “Continuous innovation is in the DNA of both companies. I believe we can support Aerones with our engineering expertise in future projects as well.”

The consolidated revenues of Bercman Technologies AS (hereinafter “Bercman” or “Company“) for the third quarter of 2023 amounted to EUR 403 272 (-19% compared to Q3 2022: EUR 497 404).

This decline is primarily attributed to the reduction or suspension of development activities by existing clients in our client portfolio, in response to the overall economic situation and difficulties in raising capital. Considering the slowdown in sales, we have continued to optimize our monthly operating costs. In addition to serving Estonian customers, the company exported its development services to Sweden, Finland, Singapore, and the United States during the third quarter. The company also expanded its customer portfolio by adding three new customers, including one from Germany, a market where the development services had not been exported previously. The strength of the company’s service offering lies in its competencies, which enable it to be flexible and responsive to the diverse needs of its clients. The company provides development services solutions in various sectors, such as micro-mobility, defense, unmanned aerial systems, robotics, automation, data collection, inventory tracking, and smart city solutions. Furthermore, the share of medical technology and energy in the company’s service portfolio is on an upward trend.
On the proprietary product side, Bercman exported smart pedestrian crosswalks to Finland in the third quarter, and smart safety systems were installed in Bosnia and Herzegovina and Scotland. In Estonia, a new crosswalk safety system was installed in Elva. The company also signed a contract for the construction of the Põlva Smart Road, with work on the project commencing and completion scheduled for the end of 2023. Additionally, procurements for smart transport infrastructure were conducted in Greece and Croatia. Bercman was announced as the winner of tenders for the upgrade of crosswalks in the towns of Lamia and Chaidar in Greece. Beyond Europe, planning for the implementation of smart infrastructure pilots began in Israel and Saudi Arabia.
To strengthen the export network, Bercman participated in Oslo Innovation Week as part of the Enterpriser Estonia delegation in September. The team will also take part in a joint stand of Estonia at the world’s largest technology fair, Gitex Global, in Dubai in October, and at the Smart City Expo in Barcelona in November.
Revisions to the Company’s Sales Estimation for 2023
According to Bercman’s stock exchange release published on March 3, 2023, the sales estimate for the current year is EUR 2.1 million. Considering the sales results for the three quarters and the sales forecast for the fourth quarter, the company’s management has decided to revise the 2023 sales forecast from EUR 2.1 million to EUR 1.75 million.
Mart Suurkask: “This year’s sales performance is directly linked to the challenging economic environment and the associated difficulties it presents. As a result, we have decided to revise our sales forecast for 2023 to match last year’s results. In an effort to boost sales, particularly in development services, we welcomed a Group Chief Sales Officer and a Business Development Manager for the Norwegian market in October. There are currently no planned changes to the sales forecast for 2024.”

Management report
AS Bercman Technologies (hereinafter “Bercman”) announces its unaudited consolidated results for the first half of 2023. Bercman’s unaudited consolidated sales revenue for the first six months of 2023 was EUR 869 295, compared to EUR 793 435 for the same period in 2022. As of 2022, the consolidated sales results also include the turnover figures of the Bercman Group’s subsidiary Krakul OÜ (hereinafter “Krakul”).
New markets and expansion in existing markets
In the first half of 2023, Bercman’s proprietary smart city products, specifically smart pedestrian crosswalks, were delivered to export markets in Greece, the UK, Croatia, Bosnia and Herzegovina, and Australia. Additionally, smart safety systems were installed in Kohtla-Järve, Estonia. Procurements for smart transport infrastructure projects were participated in Greece, Croatia, Slovakia, Finland, and Estonia, the results of these procurements will be published in most cases during the second half of the year.
Krakul continued its work on long-term client projects and expanded its client portfolio to include development service clients from both Estonia and international markets. Services were exported during the first half of the year to Sweden, Switzerland, the United Kingdom, the United States, and Singapore.
To further expand our export network, we organized our participation in the world’s largest B2B industrial fair in Hannover in April and the European Defence Fund programme networking event in Brussels in June.
Economic results
The reporting period ended with a loss of 160 384 euros (the first half of 2022 a loss of EUR 440 173). As of 30.06.2023, the company’s balance sheet total was 1 773 760 euros (30.06.2022: EUR 2 161 362). Current assets amounted to 475 867 euros (30.06.2022: EUR 633 827). Fixed assets amounted to 1 297 893 euros (30.06.2022: EUR 1 527 535). The company’s equity as of 30.06.2022 was 1 204 433 euros (30.06.2022: EUR 1 470 490). As of 30.06.2023, the company had 72 023 euros in loan liabilities (30.06.2022: EUR 210 797).
Macroeconomically, the first six months of 2023 have been impacted by the volatile business environment in the technology sector, leading the company to adopt a more conservative stance in both revenue forecasting and cost management. The optimization of operating costs and the conservative approach to cost and development plans have contributed to reducing the company’s losses compared to the previous year.
Team
As of June 30, 2023, Bercman has one management board member, and three supervisory board members, and Krakul has one board member, with a total of 21 specialists in the Group’s employ in their respective fields. The Group’s labour costs, including labour taxes, amounted to 572 825 euros in the first half of 2023 (6 months in 2022: 714 707 euros).

Management assessment
The company had no pending legal proceedings, tax or other disputes during the financial year or at the time of submitting the report.
According to the board’s assessment, the company’s operations were still affected by the Ukraine-Russia war and an overall economic slowdown in the first six months of 2023. However, this reality has been considered, and efforts are being made daily to capitalize on new growth opportunities.
Bercman adheres to the revenue forecasts published at the beginning of 2023 and does not make any changes. Bercman forecasts consolidated sales revenue of 2,1 million euros for the 2023 fiscal year and 2,5 million euros for 2024.

AS Bercman Technologies (hereinafter “Bercman”) and Põlva Rural Municipality Government have signed a service contract in accordance with the public procurement “Põlva Smart Road” to create an innovative technological solution in the city of Põlva with the aim of increasing traffic safety and piloting the measurement of average speed of the vehicles within the city.
The work will be carried out and co-financed through the European Regional Development Fund, in which the beneficiary of the support is Põlva Rural Municipality Government and the implementing unit is Enterprise Estonia (EAS). The total cost of the signed contract, including VAT, is 167,980 euros. The deadline for the contract is 5 months after its signing.
As per contract a solution will be created that does not yet exist anywhere else. The goal of the innovation procurement is to equip the pedestrian crossings on Kesk Street and partially on Jaama Street with smart traffic signs to increase pedestrian safety. Additionally, Estonia’s first in-city segment for measuring average speed on a smart street is planned with the aim of setting an example for the whole country.

I am glad that our proposed solutions proved to be successful. Our proposed concept includes fourteen Smart Pedestrian Crossings. Four of these pedestrian crossings have the capability of measuring average speed. Two variable message signs will support the described pedestrian crossings at the planned starting and ending points of the road. The work is scheduled to be completed by the end of the year.” said Suurkask.
The Mayor of the Põlva Municipality, Martti Rõigas: “It is good to acknowledge that after several procurement disputes, different procedures, and long legal battles up to the Supreme Court, clarity has finally been achieved. Now there is an opportunity to move forward with the matter substantively, and I believe that the solutions offered by Bercman will contribute to improving traffic safety in Põlva town. Moreover, this serves as a good example and proof that innovation and new solutions are not exclusive to large cities; innovation can be brought to life even in small towns”

The consolidated revenue of AS Bercman Technologies (hereinafter “Bercman”) for the first quarter of 2023 was 486 627 euros. Consolidated revenue for the comparable period in 2022 was EUR 294 360. Sales revenue grew by 65% year-on-year.

The constant changes in the current business environment also require us to be flexible. We have adopted a more conservative approach to revenue forecasting and cost management than in the past. This year promises to be challenging for the business environment and the economy, but we will nevertheless stay on course to grow our export capabilities and develop our internal processes to ensure we deliver high-quality development services and proprietary products.”
In the first quarter, Bercman’s first own-product smart crosswalk devices were installed in the UK, in the Scottish town of Ayr and on the island of Rhodes in Greece. Orders for the installation of smart crosswalks were received from Australia and Bosnia and Herzegovina, where the crosswalk safety systems will be shipped in the second quarter. Also, the smart pedestrian crosswalks will be exported to Croatia, and the safety systems will be installed in the city of Kohtla-Järve in Estonia in the second quarter. Both the Croatian and the Kohtla-Järve installations will use the upgraded hybrid solution. The hybrid power supply solution will supply the crosswalk at night from the street lighting mains and switch to battery power during the day.
In the first quarter, Krakul OÜ (hereinafter “Krakul“), a developer of the Internet of Things and autonomous systems and part of the Bercman Group, exported Internet of Things and autonomous systems solutions to the markets of Singapore, Switzerland, the USA and Sweden, in addition to serving Estonian customers. At the beginning of the year, Krakul added new development service customers from Estonia and Sweden to its customer portfolio.
In the second quarter, work will continue on existing projects, but the focus will also remain on finding new clients. To strengthen the export network, the Krakul team attends the world’s largest B2B industrial fair, Hannover Messe, in April, which is also the leading technology fair in Germany.

Compared to previous years, 2023 got off to a stronger start and client projects were in constant progress. Bercman Technologies AS (hereinafter “Bercman”) submits the consolidated and audited financial reports for 2022 prepared by the Management Board.
Compared to the unaudited interim report published on 03 March, there are differences in the financial results of the audited annual report. The changes are due to the revaluation of fixed assets during the audit. Also, the amount of the sales turnover has changed because of an adjustment to the revenue recognition period.
Bercman’s sales revenue of the 2022 was 1 735 991 euros (1 755 741 euros in unaudited interim report). For the comparable period in 2021, turnover was EUR 76 096. As of 2022, the consolidated sales results also include the turnover figures of the Bercman Group’s subsidiary Krakul OÜ.
The reporting period ended with a loss of 774 226 euros (the loss in interim report: EUR 746 323; the loss in 12 months of 2021: EUR 593 252). Loss is due to expenses made for the growth and development of the company, the further development of the company’s own products, and non-recurring expenses related to public offerings and admission to trading of shares.
As of 31.12.2022, the company’s consolidated audited balance sheet total was 1 659 545 euros (Interim report 31.12.2022: EUR 2 008 262; 31.12.2021: EUR 2 144 947). Current assets amounted to 571 255 euros (Interim report 31.12.2022: EUR 557 671; 31.12.2021: EUR 659 578). Fixed assets amounted to 1 088 290 euros (Interim report 31.12.2022: EUR 1 450 591; 31.12.2021: EUR 1 485 369). The company’s equity as of 31.12.2022 was 1 057 959 euros (Interim report 31.12.2022: 1 468 769; 31.12.2021: EUR 1 604 819). Cities play a significant role in digital development because they can often react more quickly than states. Also, on a smaller scale, people engaged in developing communities know it is crucial to make the best use of local resources unique for each municipality.
Tartu is a wonderful example of both. Naturally, Tartu is building on its previous success in achieving paperless administration, near-carbon neutrality for heating, and digital mobility solutions such as electric bikes and safe crosswalks with smart-controlled LED lights. The new ambitions in the driverless transport sector are joining together the forces of organisations in the region: the University of Tartu, Estonian Aviation Academy, Tartu Science Park, and a plethora of companies, some of them grown directly out of the university.
Building upon this, Tartu City and the Municipalities of Tartu County have put in motion a series of pilots, tests and development projects, some under ZeroEST centre and some under Autonomous Driving Lab (ADL), some of them under Hydrogen Valley Estonia. Taken together, the goals of the region seem much more tangible.
Tartu has started to experiment with on-demand transport in the region. Organising a regular bus route in its sparsely populated surroundings is unreasonable. But according to Tambet Matiisen, Head of Technology at the ADL, this challenge was a perfect opportunity for self-driving cars: it is often easier to achieve driverless mobility on smaller highways than in dense urban settings. Combining these considerations, the City of Tartu, Modern Mobility, Bercman Technologies, Traffest and the University of Tartu ran a widely popular experiment between 26 on-demand stops connected by 66 km of roads.
This pilot provided both, the city and other participants, with valuable information about future challenges before such a transport system could be applied more widely. Matiisen recalls, for example, how they quickly realised that using traffic lights for navigation is suboptimal.
“It would be quite silly to take the signal from the traffic control centre, translate it into green, yellow and red traffic lights for human use, and ask car cameras to react to those,” says Matiisen. “It would make much more sense to link the car up directly to the digital signal. We did this, and the next tests can start one step ahead.”
Before letting self-driving cars into the street, Tartu created a digital twin of the city where the vehicle could practice. This, along with meticulously mapped streets, proved to be valuable not only in the context of the pilot but for other interested parties.
“We are regularly cooperating with Auve Tech, an Estonian autonomous transport developer,” Matiisen reports. “Since they are located in Tallinn, it would be difficult to get their vehicles to Tartu for each test run. But using such a digital twin is much more feasible.”
Matiisen and other partners hope such infrastructure will attract other autonomous mobility developers into the region.
But Tartu’s ambitions are not only terrestrial. Experts argue that driverless mobility will be first achieved in the air because aerospace is missing the most hard-to-predict component for sensors – namely, pedestrian traffic. And when it happens, Tartu hopes to be among the first ones to experience this.
Tartu City Strategy incorporates principles of Urban Air Mobility (UAM) that list the steps from regulation to city planning to smart city solutions that would pave the way for air taxis and cargo drones.
In Tartu, hydrogen and urban aviation strongly feed into each other. The city represents Estonia in many European initiatives, such as the European Commission’s Sustainable Urban Mobility Planning (SUMP) framework and the European Clean Hydrogen Alliance (ECH2A). These platforms are creating obvious synergies in achieving clean energy production and reduction of emissions from the transport sector. In the field of hydrogen, for example, Tartu played the leading role in compiling the nationwide Hydrogen Valley ecosystem, which hosts over 30 projects ranging from generating renewable energy to use cases.
Marek Alliksoo, one of the leaders of the Hydrogen Valley initiative, says that the only real bottleneck in the hydrogen transition is the need for more technology. “In many areas, we could move faster, but technology producers are all booked for years. We are keenly looking for our own Estonian developing startups that have grown out of the University of Tartu,” Alliksoo says. In addition to tech improvements, Tartu is developing a broader vision of the infrastructure for creating, storing and distributing renewable energy with the help of hydrogen.
One of the major projects where both road and air transport developments converge is Tartu’s testing and certification centre for driverless mobility. This project is currently looking for a suitable 20 hectares of space near the city where driverless cars and air-taxies could be tested and, importantly, certified before they are allowed into European roads and skies. The testing centre is already attracting global companies aiming to launch innovative solutions.
“The test site would incorporate not only a physical space but also the aforementioned digital twin of the city, as well as a portion of the city that would operate as a live lab,” explains Alliksoo. “Car and drone producers need to know that their vehicles can function in the snowy and rainy conditions of Northern Europe. But not only on the test site, but the whole city infrastructure from traffic control systems to hydrogen recharging stations would support unmanned transport testing on the roads and in the air of the city of Tartu.”
Tartu is the only Estonian city in the European Smart Cities Marketplace that envisions such a future and also the only city from Estonia to have been selected for the European Commission’s mission 100 Climate-Neutral and Smart Cities by 2030. “Considering the experience and ecosystem we have in Tartu, we are positive that we are able to provide the international community with an interesting site for testing and applying future technology,” notes Raimond Tamm, the deputy mayor of Tartu. “The future is not quite as far away as you might think,” Tamm believes.

Management report
AS Bercman Technologies (hereinafter “Bercman”) announces its unaudited consolidated results for the second half and 12 months of 2022. Bercman’s sales revenue of the 2022 was 1 755 741 euros. For the comparable period in 2021, turnover was EUR 76 096. From 2022, the results of Bercman’s subsidiary Krakul OÜ (hereinafter “Krakul“) are reflected in the consolidated results of the Bercman Group.
New markets and expansion in existing markets
In the second half of 2022, new generation smart pedestrian crosswalks were delivered to export markets in Greece and the UK. Several smart safety systems were installed in Narva-Jõesuu, Elva and Haapsalu.
In Greece and the United Kingdom, framework agreements for the resale of in-house developed products were signed with local companies. In Greece, a five-year contract was signed with Eur.Elec Ltd, a local transport infrastructure maintenance and installation company. In the United Kingdom, a two-year resale contract was signed with Clearview Intelligence Ltd, an ITS technology company. Cooperation was launched with 1oT, a data service provider for the Internet of Things market, for the use of 1oT eSIM cards in smart transport infrastructure devices.
In a joint bid with Krakul, the Põlva Smart Road re-tender has been won, which will see the construction of a 2.5 km stretch of road in the city of Põlva with 14 smart crosswalks and average speed measurement capability. At the time of reporting, the contract for the works has not yet been signed.
Krakul continued to work with long-term customers and customer projects and companies from both Estonia and foreign markets were added to the client portfolio. IoT and autonomous systems solutions were exported to the UK, Germany, Switzerland, Finland, Latvia, Singapore and the USA.
To increase its network of contacts and export opportunities, the company’s team attended the Smart City Expo World Congress in Barcelona in November, together with representatives from Krakul. Smart City Expo is one of the world’s leading events on smart city developments and opportunities.
Research and development
In autumn 2022, the development project “SmartWalk”, funded by the German Ministry of Transport and Infrastructure, was completed with the participation of Bercman. The project was carried out in cooperation with the University of Hamburg and technology companies NATIX GmbH, HITeC e.V. and Artificial Intelligence Center Hamburg (ARIC). During the project, a smart crosswalk with cameras and radars was installed on Lammi Road in Tartu, testing innovative artificial intelligence technologies to improve traffic safety.
During 2022, several further developments were carried out within the framework of the Estonian-Norwegian cooperation programme “Green ICT”, which aims to develop an environmentally friendly demand-driven mobility platform (VEDAS). The platform is integrated into a network of smart bus stops.
Tertiary public offering of company shares
During the period from 4 to 14 October, the company carried out a tertiary public offering of shares. A total of 97 684 shares were subscribed during the offer period by 392 investors for a total value of EUR 293 052.
Economic results
The reporting period ended with a loss of 746 323 euros (12 months of 2021 a loss was EUR 593 252). Loss is due to expenses made for the growth and development of the company, the further development of its own product, and non-recurring expenses related to public offerings and admission to trading of shares.
As of 31.12.2022, the company’s balance sheet total was 2 008 262 euros (31.12.2021: EUR 2 144 947). Current assets amounted to 557 671 euros (31.12.2021: EUR 659 578). Fixed assets amounted to 1 450 591 euros (31.12.2021: EUR 1 485 369). The company’s equity as of 31.12.2022 was 1 468 769 euros (31.12.2021: EUR 1 644 819). As of 31.12.2022, the company had 73 658 euros in loan liabilities (31.12.2021: EUR 28 472).
As of 31.12.2022, there is one member of the Management Board, three of the Supervisory Board in Bercman, and one of the Management Board in Krakul. A total of 20 specialists works in the Bercman Group. The Group’s labour costs with labour taxes amounted to EUR 1 336 499 in 2022 (12 months 2021: EUR 384 855).
In macroeconomic terms, in 2022, the company’s operations were impacted by the Russian-Ukrainian war, which created uncertainty and caused delays in customer decisions and project progress. Projects already in progress were not cancelled by customers due to the instability caused by the war but some of them were postponed until 2023. The second half of the year was further impacted by accelerating inflation and rising input prices in the energy market, which were accompanied by some increases in component input prices.
The financial results for the reporting period are presented here.
Estimation revision
Company’s Management Board has decided to lower the consolidated turnover forecast presented on 04.10.2022 for 2023 from EUR 3,1 million to EUR 2,1 million and the turnover forecast for 2024 from EUR 6,53 million to EUR 2,5 million. The company is revising its forecasts published in 2022 based on a pessimistic overall economic outlook, a slowdown in economic growth and uncertainty caused by the Russian-Ukrainian war.
Due to the tight economic situation, there is currently less receptivity to the introduction of new solutions, and local authorities have put the brakes on investments. As a result, the company does not expect a big increase in turnover from the sale of transport infrastructure solutions this year, but it does expect the realisation of the projects prepared last year as planned. In development services, sales are expected to grow steadily through the addition of new customer projects.
Mart Suurkask, CEO of Bercman: “Although 2022 was a challenging year, we finished on track with the turnover forecast we set last year. We have decided not to raise any additional money from the stock exchange this year and plan to manage the year within our resources. To optimise operating costs, we changed the company’s structure and are focusing on sales of proprietary products and development services. In the current economic situation, it is necessary to revise the forecasts for 2023 and 2024, as last year’s recession and analysts’ rather pessimistic outlook for the current year do not give reason to expect a big increase in sales of own products. However, we see some turnover growth compared to 2022 through the addition of new development service customers, and we will continue to work towards steady growth. There is a lot of uncertainty in the economy today, but we are resilient and continue to focus on growth opportunities, and as the economic environment stabilises, we are ready to set new, more ambitious targets for our business.”

Estonian startups Bercman Technologies and 1oT joined their knowledge to modernize data transmission of smart infrastructure. Bercman’s IoT-based smart crosswalks, now with hassle-free and fast installable eSIM cards, are increasing traffic safety and supporting smart vehicles’ further use in city transportation.
Estonian startups Bercman Technologies and 1oT today announced the cooperation that will bring eSIM cards to smart traffic infrastructure devices. At first, they are redefining the well-known crosswalks to provide better safety and adapt it to the era of smart cities.
The eSIM solution provides an advantage for smart devices delivered on a global scale, points out Märt Kroodo, the co-founder and CEO of 1oT.
“The eSIMs offer flexibility and operational efficiency to serve our customers in export markets, and in general, they are also more environmentally friendly,” says Mart Suurkask, the founder and CEO of Bercman Technologies.
The first crosswalks with eSIMs to be installed in Greece
The first smart crosswalks with eSIMs will be installed on the streets of Greece’s third-biggest city of Patras already in the coming days. “All these devices are using eSIM cards for data transmission,” Suurkask notes.
Fast and hassle-free installation
eSIMs are more convenient, reduce bureaucracy and speed up the installation of new infrastructure. According to Suurkask, Bercman sends out a device set in which the card is already installed and configured so that the service starts immediately after installing the smart crosswalk at the destination.
“For the client, the process is quick and smooth,” Suurkask points out. “In addition, we can change the data transfer profile in the management portal if needed without bringing the telecom company into the process.”
Smart crosswalks are not the only solutions with eSIM adoption. Another significant area is micromobility, where it is used in scooters and bike-sharing services, and logistics, where the location of trucks and containers is tracked using GPS. Furthermore, eSIM technology is also successfully used in healthcare, agriculture and everyday electronics, for example, in smartwatches and smartphones.
1oT is a global data communication service provider targeting the IoT market. Founded in 2016 in Estonia, 1oT has already shipped one million SIMs and eSIMs worldwide, which are used in smart devices in more than 173 countries.

The Supervisory Board of the Estonian technology company AS Bercman Technologies (hereinafter “Bercman“) confirmed the resignation of Jaan Hendrik Murumets from the company’s Management Board at his request as of 30.11.2022.
As of 01.12.2022, Bercman’s Management Board will continue with one member Mart Suurkask, the current Chairman of the Board.

After six years, Murumets is also stepping down as CEO of Bercman’s subsidiary Krakul OÜ, but will continue as a member of the company’s Management Board. Kristjan Tozen will take over as CEO of Krakul on 01 December 2022. Tozen has been a member of Krakul’s Management Board for five years. As the company’s current Chief Technology Officer, he has led the company’s development teams and product development, making him a logical and very strong choice for the new CEO position. Krakul’s COO, Aare Aruniit, who joined Krakul at the end of the summer this year, is responsible for the day-to-day management and development processes.

The consolidated revenue of AS Bercman Technologies (hereinafter “Bercman”) for the third quarter of 2022 was 497 404 euros. As of this year, the consolidated sales results also include the turnover figures of the Bercman Group’s subsidiary Krakul OÜ (hereinafter “Krakul”).

As part of the innovation competition won in spring, smart crossings will be installed in Kohtla-Järve, Estonia before the end of the year.

The PIN-code operated lock is targeted at residential commercial property managers and Airbnb accommodation providers in major European cities. In the third quarter Krakul exported IoT and autonomous systems solutions to the US, Finland, Latvia, Singapore and Switzerland. Largest share of Krakul’s sales coming from Estonian customers.

Overview of the essential terms of the offering
Up to 120 000 ordinary shares of AS Bercman Technologies are publicly offered. If the interest in the offering is high and the investor demand exceeds the number of shares offered, the Issuer has the right to increase the number of shares in the offering up to 210 000 shares.
The estimated revenue of the offering is approximately EUR 360 000, or up to EUR 630 000 in the case of oversubscription. Bercman intends to use the proceeds of the offering primarily to expand into new markets in Europe, focusing in particular on improving its position in already established markets such as Greece, Croatia, and the United Kingdom but also on newer markets of Finland, Poland, Belgium, Spain, Slovakia, Slovenia, Italy, Bosnia and Herzegovina, Sweden and the Czech Republic, as well as on investments in product development. The latter includes the development of the automatic first aid call system SurviveCall and further development of new functionalities to the Smart Pedestrian Crosswalk.
Bercman will submit an application for admission of all new shares issued in the course of the offering, to trading on the Multilateral Trading Facility First North.
The offering period during which the shares can be subscribed for will begin on 4 October 2022 at 10:00 and ends on 14 October 2022 at 16:00 (Estonian time).
The offer price is fixed at EUR 3 per share of which EUR 0,10 is the nominal value and EUR 2.90 is the issue premium. Only an integer number of shares can be subscribed for.

Ülevaade pakkumise olulistest tingimustest
Avalikult pakutakse kuni 120 000 AS Bercman Technologies lihtaktsiat. Juhul, kui huvi pakkumise vastu on suur ja investorite nõudlus ületab pakutavate aktsiate arvu, on Emitendil õigus suurendada pakkumise aktsiate arvu kuni 210 000 aktsiani.
Pakkumise eeldatav tulu on ligikaudu 360 000 eurot, ülemärkimise puhul pakkumise mahu suurendamise korral kuni 630 000 eurot. Bercman kavatseb pakkumise tulu kasutada ennekõike uutele turgudele laienemiseks keskendudes Euroopas oma positsiooni parandamisele juba teatava küpsuse saavutanud Kreeka, Horvaatia ja Ühendkuningriigi ning värskematele Soome, Poola, Belgia, Hispaania, Slovakkia, Sloveenia, Itaalia, Bosnia ja Hertsegoviina, Rootsi ja Tšehhi turgudele, samuti tootearenduse investeeringuteks, mille vallas keskendutakse automaatse hädaabikutsungi lahenduse SurviveCall arendusele ning täiendatakse jätkuvalt Nutika Ülekäiguraja funktsionaalsusi.
Bercman esitab taotluse pakkumise käigus emiteeritavate uute aktsiate kauplemisele võtmiseks mitmepoolses kauplemissüsteemis First North.
Pakkumisperiood, mille jooksul on võimalik aktsiaid märkida, algab 4. oktoobril 2022 kell 10.00 ning lõppeb 14. oktoobril 2022 kell 16.00 (Eesti aja järgi).
Pakutava aktsia hind on 3 eurot, millest 0,10 eurot on nimiväärtus ja 2,90 eurot on ülekurss. Märkida saab üksnes täisarvu aktsiaid.
Investor, kes soovib esitada märkimiskorraldust, peab selleks ühendust võtma oma Eesti Väärtpaberite Registris avatud väärtpaberikonto halduriga.

Jaotusreeglid
Bercman otsustab pakkumise aktsiate jaotamise oma äranägemise järgi pärast pakkumisperioodi lõppu 17. oktoobril 2022 või sellele lähedasel kuupäeval. Jaotamisel koheldakse kõiki investoreid samade asjaolude juures võrdselt, kusjuures Emitent jätab endale õiguse eelistada Bercman Grupi juhtorganite liikmeid, töötajaid ja/või olemasolevaid investoreid. Lisaks pakkumisele on Bercmanil õigus jaotada pakkumise aktsiaid vastavalt oma paremale äranägemisele institutsionaalsetele investoritele väljaspool Eestit eeldusel, et sellised investorid kvalifitseeruvad kutselisteks investoriteks Prospektimääruse artikli 2(e) tähenduses.

Estonian deep-tech company AS Bercman Technologies (hereinafter “Bercman“) signed a distribution framework agreement with a technology company Clearview Intelligence Ltd (hereinafter “Clearview“), providing intelligent road and transport solutions, for the resale of Bercman’s traffic safety systems in the UK.
The framework contract covers the period 2022-2024. Under the terms of the framework agreement, Clearview will be entitled to represent Bercman in the UK for two years. Clearview will work to increase sales of Bercman’s smart safety systems in the local market. The framework contract does not foresee fixed budgetary or sales volumes.

Explanation of the management board: the preclusion of the pre-emptive right of subscription of the shareholders of the Company is necessary in order to ensure that the Company can engage new investors to the Company’s group of investors and to ensure the success of the public offering decided in clause 1; secondly, the preclusion of the pre-emptive right of subscription is necessary for the operative technical organisation of the public offering decided in clause 1 – in order to settle the offering, the shares borrowed from current shareholders are used and new shares are issued to the shareholder who lent the shares.

AS Bercman Technologies’ consolidated unaudited sales revenue of the first half of 2022 was 793 435 euros. For the comparable period in 2021, turnover was EUR 3115. A significant part of the increase in turnover is due to the fact that the results of Krakul OÜ, a subsidiary of Bercman, are reflected in the consolidated results of the Bercman group starting from this year.
New markets and expansion in existing markets
In the first half of the year, a new generation of smart pedestrian crosswalks were installed in the Tehnopol and Ülemiste campuses in Tallinn, in Haapsalu, Kuressaare, Saue and Viimsi. In addition, the procurement was won for the installation of smart pedestrian crossings in Narva-Jõesuu (installation to take place in Q3). Smart pedestrian crosswalks were delivered to foreign markets in Greece, Switzerland and Lithuania.
At the beginning of 2022, the procurement of the Põlva Smart Road was won for the construction of a 2.5 km road section with 14 smart crosswalks and the ability to measure average speed in the city of Põlva. The procurement was cancelled due to an error on the part of the organiser and a re-procurement was carried out. Bercman’s joint bid with Krakul was declared the winner by the contracting authority (Stock market news 10.08.2022 AS Bercman Technologies won the procurement of Põlva Smart Road for the second time), the contract isn’t signed yet.
In the first half of the year, Krakul continued to work with long-term customers and customer projects. In the second quarter, Krakul signed a partnership agreement with u-blox, the world’s leading provider of positioning and wireless technologies and services. The partnership means that u-blox can confidently introduce customers who need solutions to fit their specific needs to the Krakul team. IoT and autonomous systems solutions were exported to the Finnish, Latvian, Singaporean, Swiss, German and US markets in the first half of the year.
Research and development
In the period from February to April, company participated in a project coordinated by the autonomous driving lab of the University of Tartu together with Tartu City Transport, Traffest OÜ and Modern Mobility OÜ. The aim of the cooperation project was to test the use of a autonomous driving vehicle in the provision of on-demand transport services and to validate the technological solutions and processes necessary for this purpose. Within the framework of the cooperation project, Bercman installed radars on the trajectory of an autonomous vehicle in the city of Tartu and outside the city on the highway and interfaced them with the control system of an autonomous car. In addition to radars, Estonia’s first smart pedestrian crosswalk with 5G connection was interfaced to the vehicle control system on Kroonuaia Street in Tartu. Participation in the project allowed the testing of technologies needed for the safe movement of self-driving vehicles on urban streets and roads. The results of the test project are expected to have a positive impact on the further development of on-demand transport services via self-driving vehicles and thereby increase the demand for self-driving vehicles interacting with transport infrastructure.
The company participates in a cooperation project with the University of Hamburg and the technology companies NATIX GmbH, HITeC e.V. and Artificial Intelligence Center Hamburg (ARIC). Preparatory work was carried out during the reporting period for the implementation of the development project “SmartWalk” financed by the German Ministry of Transport and Infrastructure. The project received a funding of 100 000 euros under the mFUND Innovation Initiative. In the course of the project, a smart pedestrian crosswalk was installed along with additional technical equipment from the project partner Natix GmbH using innovative AI technologies on the Lammi road in Tartu. Using a real-time anonymised combination of sensors, “SmartWalk” detects critical traffic situations and alerts road users.
In the second quarter, the company was accepted as a partner of the Swedish innovation programme Drive Sweden. Drive Sweden is made up of about 150 organisations in various fields working together on every aspect of the future transport revolution, from road safety and legislation to business models, technology and infrastructure. For Drive Sweden’s partners, participation in the partnership projects allows them to test the ideas and technologies they have developed to solve transport problems in real life.
In the second quarter, the company applied for funding from the EAS Applied Research Programme (RUP) with a budget of 340 000 euros. The aim of the project is to create a prototype traffic infrastructure system solution for detecting traffic accidents that have occurred on pedestrian crosswalks.
Contribution to the development of the sector’s business environment and network of partners
At the international level, the company participated in the first quarter in the International Congress of the Public Transport Union Dubai UITP MENA and at the meeting of the members of the Intelligent and Autonomous Transport Systems Organisation (CCAM) in Brussels to discuss developments in the field and future activities at European Union level.
ITS Estonia led the meeting with representatives of Transport Canada. In addition, CARIAD, an automotive software and technology company, was met, which brings together the Volkswagen Group’s software competencies with the aim of increasing the Volkswagen Group’s speed of innovation to make vehicles more sustainable, safer and connected.
In the second quarter, the company participated in the OECD International Transport Forum in Leipzig and ITS Europe Congress in Toulouse. In addition, the Prime Minister of the Republic of Estonia was accompanied in a visit to Gothenburg, Sweden. The aim of the business visit was to establish a link between Estonian and Swedish entrepreneurs and to promote cooperation in the field of sustainable development and green transition.
The Krakul team participated in the International IoT Solutions Fair “IOT Solutions World Congress Barcelona”, where the IoT solutions developed by Krakul were introduced together with the collaborator Richardson RFPD.
Company’s secondary public offering of shares
During the period from 22 April to 2 May, the company carried out a secondary public offering of shares. Up to 151 261 ordinary shares were publicly offered, of which 42 876 shares were subscribed for by 351 investors for a total of 264 973,68 euros. The secondary public offering of shares came at a difficult time due to the Russian-Ukrainian war, when the geopolitical situation in Europe was and continues to be unstable and the general economic climate in the stock markets is not favourable. Compared to 2021, investors have been more conservative in the first half of the year.
Economic results
Reporting period ended with a loss of 440 173 euros (the first half of 2021 a loss of EUR 207 897). The loss was due to expenses made for the growth and development of the company, the further development of its own product, the recruitment of additional employees to increase its internal competence and non-recurring expenses related to the secondary public offering and admission to trading of shares.
Three key positions were added to the Bercman team in the first half-year: Head of Growth and BD, Head of Marketing and Communication and Chief Financial Officer. The Krakul team was joined by a development manager, who is responsible for the development and implementation of the company’s product development processes.
In macroeconomic terms, the availability of certain product components was further affected in the first half of 2022 by the COVID-19 pandemic, which in particular caused delays in the delivery of components. The company’s activities have also been affected by the Russian-Ukrainian war, which has caused delays in customers’ decisions and progression of projects. In-progress projects due to the instability caused by the war have not been cancelled by customers. Increased inflation and rising energy market input prices have led to some increase in component buy-in prices.
Estimation revision
Bercman notifies that it adjusts the turnover figures and turnover forecast compared to the information submitted on 28.03.2022 from 2.445 million euros to 1.80 million euros for the current year and from 4.051 million euros to 3,1 million euros for 2023.
Bercman adjusts the 2022 forecasts published at the beginning of the year based on the general global market environment and the results of the secondary public offering of additional shares in April and May. The main objective of the issuance of additional shares was to accelerate the expansion into new markets and the development of hardware and software for the development of new functionalities for the smart pedestrian crosswalk.

Eesti tehnoloogiaettevõte Bercman Technologies võitis Põlva valla poolt korraldatud kordushanke nutitee rajamiseks Põlvasse Kesk ja Jaama tänavale.
Käesoleva aasta alguses läbi viidud hange tühistati korraldajapoolse eksimuse tõttu hanke tähtaegades. Kordushankele esitati kolm pakkumust, mille hulgast tunnistati Põlva vallavalitsuse poolt edukaks Bercmani ühispakkumus Krakul OÜ-ga. Hankeprojekti maksumuseks on 167 980 eurot koos käibemaksuga ning projekti eeldatav valmimise aeg 2023. aasta märtsis.
Põlva vallavanem Martti Rõigas väljendas heameelt selle üle, et hankeprotsess on edukalt lõpuni jõudnud ning vald saab liiklusohutuse suurendamiseks ja autojuhtide liikluskäitumise parandamiseks kavandatud nutitee rajamisega edasi minna. “Targa liiklustaristuga nutitee vastu on juba korduvalt huvi tuntud. Loodan, et nutitee rajamine Põlvasse julgustab ka teisi väikelinnasid mõtlema uuenduslike lahenduste toomisele linnaruumi eesmärgiga muuta elukeskkond linnaelanikele turvalisemaks,” lisas Rõigas.
Bercmani tegevjuhi Mart Suurkase sõnul valmistab kordushanke võitmine ettevõttele suurt rõõmu. “Oleme nii esialgse kui praeguse hankepakkumuse ettevalmistuse käigus Eesti esimese keskmise kiiruse mõõtmise lahendusega teelõigu rajamisele põhjalikult mõelnud ning ootame põnevusega töödega alustamist,” lausus Suurkask võitu kommenteerides.
Projekti käigus rajatakse Põlva kesklinna 14 nutikast ülekäigurajast, autode keskmise kiiruse mõõtmise seadmetest ja muutuva teabega märkidest koosnev teelõik pikkusega ~2,5 km.
AS Bercman Technologies, in a joint offer with Krakul OÜ, won the procurement of Põlva Municipality for the construction of the Põlva smart road solution for the second time.
The initial call for tenders for the Põlva Smart Road, organised in early 2022, was cancelled due to a procedural error by the contracting authority.
The volume of the planned procurement contract is €167 980 including VAT, and the expected implementation period of the project is August 2022 to March 2023. As a result of the project, a ~2.5 km section of road with an average speed measuring capacity consisting of 14 smart crosswalks is completed in Põlva on Kesk and Jaama street in spring 2023.

The consolidated revenue of Bercman Technologies AS (hereinafter “Bercman”) for the second quarter of 2022 was 499 075 euros. As of this year, the consolidated sales results also include the turnover of the Bercman Group’s subsidiary Krakul OÜ (hereinafter “Krakul”).
In the second quarter, Bercman Smart Pedestrian Crosswalks were installed in Kuressaare, Saaremaa, and the municipality of Saue to improve road safety. In addition to the existing ones, a smart crosswalk and the first traffic light intersection with additional smart safety system functionality were installed in Viimsi. In external markets, Bercman participated in smart mobility infrastructure procurements in Greece, the UK and Croatia. The crosswalks that were the subjects of the procurements willbe installed in the second half of the year.
The installation of smart crosswalks in Narva-Jõesuu was postponed from the second quarter to the third quarter, depending on the client. An additional pedestrian crossing will be installed in Haapsalu in the third quarter and a smart crosswalk will be installed in Elva to improve road safety. The smart safety systems are scheduled to be delivered to the UK and Greece in the third quarter.
The development project “SmartWalk”, funded by the German Ministry of Transport and Infrastructure, has reached the stage where the installation of a smart crosswalk for the development and testing of intelligent traffic infrastructure on the Lammi road in Tartu has started. The test project, in which Bercman is a partner, is scheduled to be completed in the second half of 2022.

Krakul, an IoT and autonomous systems design company and part of the Bercman Group, signed a partnership agreement with u-blox, the world’s leading provider of positioning and wireless communications technologies and services in the second quarter. As part of the partnership agreement, u-blox will refer customers who need specific solutions to Krakul.
Krakul exported IoT and autonomous systems solutions to the USA, Finland, Latvia, Singapour and Switzerland in the second quarter. In order to accelerate growth in international markets, Krakul’s team participated in the global Internet of Things solutions fair “IoT Solutions World Congress Barcelona”, where Krakul’s IoT solutions were presented together with its partner Richardson RFPD.

Bercmani nutikad ülekäigurajad paigaldati Saue riigigümnaasiumi, Laagri kooli ja Tuleviku ning Veskitammi lasteaedade lähedusse. Saue Valla teedespetsialisti Indrek Brandmeistri sõnul tingis nutikate ülekäiguradade asukohavaliku asjaolu, et Laagri kooli ees Veskitammi tänaval liigub palju erinevas vanuses lapsi. Samuti on valmimas uus Saue Riigigümnaasium, mistõttu soovis vald suurendada teeületuse ohutust koolide läheduses. “Kuna ka naabervallad on nutikaid ülekäiguradasid rajanud, soovisime need samuti liiklusohutuse suurendamiseks kasutusele võtta,” lisas Brandmeister.
Ülekäiguradade töös hoidmiseks kasutatakse hübriidlahendust, mille puhul töötab ülekäiguraja valgustus päevasel ajal akutoitel ning akusid laetakse elektrivõrgust öösiti, kui tänavavalgustuslambid põlevad.
Bercmani tegevjuht Mart Suurkask väljendas uudist kommenteerides heameelt selle üle, et Saue vald on otsustanud laste teekonna liikluses ohutumaks muuta. “Kahjuks kuuleme liiga sageli reguleerimata ülekäiguradadel toimunud liiklusõnnetustest ning paljudel juhtudel on kannatajateks nendes õnnetustes just lapsed,” tõi Suurkask veel liiklusstatistikale viidates välja.
Tulevikuplaanidest rääkides lisas Brandmeister, et liiklusohutust suurendavaid nutikaid taristulahendusi plaanitakse Sauele ka edaspidi rajada ja ennekõike just koolide ja lasteaedade lähedusse.

Ettevõtted allkirjastasid koostööleppe äri- ja elukeskkonda edendavate uuenduslike lahenduste ellu viimiseks Restate’i arendatavates linnakutes. Esimese arendusprojektina saab juba sel suvel nutikad ülekäigurajad Tallinna külje all asuv Tänassilma Äripark.
Restate’i nõukogu liikme Ardi Roosimaa sõnul jõudsid nad Tänassilma Äripargi projekti hinnates tõdemusele, et selliseid alasid peab tulevikus väärindama mitte maja vaid tervikliku keskkonna kaudu. “TalTechi Innovatsioonikeskuse tõhusal toel viisime läbi intervjuud selleks, et leida uuenduslikke ja jätkusuutlikke lahendusi tööstuskeskkonna parendamiseks,” sõnas Roosimaa ning lisas, et alustamiseks oli kõige mõistlikum pihta hakata logistilisest turvalisusest.
“Tunnustame Restate’i edumeelset plaani tööstuslinnaku taristu nutikamaks muutmisel,” ei hoia Bercmani tegevjuht Mart Suurkask kinnisvaraettevõttest rääkides kiidusõnu tagasi. “Sel suvel Tänassilma Äriparki paigaldatavad nutikad ülekäigurajad on esimesed Eestis, mis tööstuslinnaku väljaarendamisel juba projektifaasis liikluse turvalisemaks muutmiseks ja seiramiseks sisse kavandatud. Ärilinnak tõstab ülekäiguradade abil ohutust piirkonnas liikuvate inimeste jaoks ja kogub statistilist ülevaadet linnaku liikluses toimuva kohta,” lisas Suurkask.
Bercmani valikut koostööpartnerina põhjendades tõi Roosimaa välja, et ettevõttel on olemas toimiv ning tehnoloogiliselt tulevikku vaatav toode. Oluliseks aspektiks oli ka projekti mõistlik eelarve ning asjaolu, et lahenduse pikaaegne haldamine ei muutuks lõpptarbijale ebamõistlikult kulukaks.
Uuenduslikke lahendusi plaanib kinnisvaraarendaja Roosimaa sõnul kindlasti ka edaspidi ettevõtte arendusprojektidesse kaasata. “Restate on alati olnud tulevikku vaatav ning ettevõtte portfellist leiab veel mitu analoogset piirkonda, mis tulevikukindlust vajavad,” oli Roosimaa edasisi plaane kommenteerides lootusrikkas, kuid tõi samas suurima väljakutsena esile vananenud planeeringud, mis sageli ei arvesta kaasaegsete lahenduste realiseerimise vajadusega.
Suurkask peab koostööd Restate’iga oluliseks verstapostiks Bercmani arengus. “Kui praeguseni on nutikaid ülekäiguradasid linnadesse planeeritud valdavalt kohalike omavalitsuste tasandil, siis koostöö Restate’iga avab uue tasandi tööstusliku, aga miks ka mitte elukondliku kinnisvarapiirkonna arendamisel.”

Up to 151 261 ordinary shares were publicly offered, while AS Bercman Technologies reserved the right to increase the number of shares on offer up to 181 513 shares. During the offering, 351 investors subscribed for a total of 42 876 shares for EUR 264 973,68.

The proceeds of the offering for EUR 264 973,68 are intended to be used for further activities related to planned product development and expansion into foreign markets.
The distribution of the new shares among the investors who have participated in the offering is based on the following principle: all investors who have subscribed will receive allocated shares according to the number of shares subscribed so that a total of 42 876 shares are distributed to the investors.
The settlement of the offering is intended to take place on or about 6 May. All secondary shares of AS Bercman Technologies will be admitted to trading on the multilateral trading facility First North, the first trading day will be on or about 17 May 2022.

Uued aktsiad jaotatakse pakkumises osalenud investorite vahel järgmisel põhimõttel: kõigile märkimiskorralduse esitanud investoritele jaotatakse aktsiaid vastavalt märgitud aktsiate arvule selliselt, et investoritele jaotatakse kokku 42 876 aktsiat.
Pakkumise arveldus on plaanitud toimuma 6. mail või sellele lähedasel kuupäeval. Bercman Technologies AS-i täiendavalt emiteeritud aktsiad on plaanis kauplemisele võtta mitmepoolsel kauplemissüsteemil First North 17. mail või sellele lähedasel kuupäeval.

Ülevaade pakkumise olulistest tingimustest
Avalikult pakutakse kuni 151 261 AS Bercman Technologies lihtaktsiat. Juhul, kui huvi pakkumise vastu on suur ja investorite nõudlus ületab pakutavate aktsiate arvu, on Emitendil õigus suurendada pakkumise aktsiate arvu kuni 181 513 aktsiani.
Pakkumise eeldatav tulu on ligikaudu 934 793 eurot, ülemärkimise puhul pakkumise mahu suurendamise korral kuni 1 121 750 eurot. Bercman kavatseb pakkumise tulu kasutada ennekõike uutele turgudele laienemiseks keskendudes Euroopas ennekõike Itaalia, Soome, Hispaania, Slovakkia, Bosnia ja Hertsegoviina, Portugali, Tšehhi, Poola, Šotimaa ja Belgia turgudele ja tootearenduse investeeringuteks, mis muuhulgas võimaldaksid käesoleval aastal tulla turule Nutika Ülekäiguraja uusi funktsionaalsusi võimaldavate tarkvara- ja riistvarauuendustega.
Bercman esitab taotluse pakkumise käigus emiteeritavate uute aktsiate kauplemisele võtmiseks mitmepoolses kauplemissüsteemis First North.
Pakkumisperiood, mille jooksul on võimalik aktsiaid märkida, algab 22. aprillil 2022 kell 10.00 ning lõpeb 2. mail 2022 kell 16.00 (Eesti aja järgi).
Pakutava aktsia hind on 6,18 eurot, millest 0,10 eurot on nimiväärtus ja 6,08 eurot on ülekurss. Märkida saab üksnes täisarvu aktsiaid.

Jaotusreeglid
Bercman otsustab pakkumise aktsiate jaotamise oma äranägemise järgi pärast pakkumisperioodi lõppu 4. mail 2022 või sellele lähedasel kuupäeval. Overview of the essential terms of the offering
Publicly in offer up to 151 261 AS Bercman Technologies ordinary shares. If the interest in the offering is high and the investor demand exceeds the number of shares offered, the Issuer has the right to increase the number of shares in the offering up to 181 513 shares.
The estimated revenue of the offering is approximately EUR 934 793, or up to EUR 1 121 750 in the case of oversubscription. Bercman intends to use the proceeds of the offering primarily to expand into new markets in Europe, focusing in particular on the markets of Italy, Finland, Spain, Slovakia, Bosnia and Herzegovina, Portugal, Czech Republic, Poland, Scotland and Belgium, as well as on investment in product development. Which would, among other things, allow entry into the market this year with software and hardware innovations that enable new functionalities of the Smart Pedestrian Crosswalk.
Bercman will submit an application for admission of all new shares issued in the course of the offering, to trading on the Multilateral Trading Facility First North.
The offering period during which the shares can be subscribed for will begin on 22 April 2022 at 10:00 and ends on 2 May 2022 at 16:00 (Estonian time).
The offer price is fixed at EUR 6.18 per share of which EUR 0,10 is the nominal value and EUR 6.08 is the issue premium. Only integer number of shares can be subscribed for.
A retail investor wishing to submit a subscription order must contact the operator of its securities account opened at the Estonian Register of Securities.

Distribution rules
Bercman shall decide on the distribution of the offering shares at its sole discretion after the end of the offering period on or about 4 May 2022. All investors shall be treated equally in the same circumstances for the purposes of distribution. The distribution shall take into account the pre-emptive subscription rights of existing shareholders. The consolidated revenue of Bercman Technologies AS for the first quarter of 2022 was 294 360 euros. Compared to the first quarter of 2021, turnover increased by 9449% (3115 euros). A significant part of the increase in turnover is due to the fact that the results of Bercman Group’s subsidiary Krakul OÜ are reflected in this year’s consolidated results of the Bercman Group.
Mart Suurkask, CEO of Bercman Technologies AS: “One important result for the company in the first quarter was the winning of Põlva Smart Road procurement. The procurement volume was 176 000 euros and the smart road on which the procurement is based on will be completed by the end of 2022. Procurement work is carried out in stages and the impact on turnover will be felt in the following quarters. In addition to Põlva, Bercman won the procurement of the city of Narva-Jõesuu for the installation of four smart pedestrian crosswalks in May this year. The impact of this procurement on the turnover results will also be felt in the next quarter.”
In the first quarter, smart pedestrian crosswalks were installed on the Tehnopol and Ülemiste campus in Tallinn and on the Tallinn highway in Haapsalu. The smart pedestrian crosswalk equipment was sent to Lithuania and Switzerland for installation and for the start of the first pilot project, and an additional pedestrian crosswalk reached Greece, where the first pedestrian crosswalk was installed in 2021. Based on the agreements made in the first quarter, smart pedestrian crosswalks will be installed in Saue (2 pcs), Kuressaare (3 pcs) and Narva-Jõesuu (4 pcs) in the second quarter of this year. Solution with an upgraded functionality will be handed over to the customer in Viimsi during the spring, where in addition to the smart pedestrian crosswalks with normal functionality, a traffic light together with the smart pedestrian crosswalk will start operating.
Bercman’s mission is to contribute to a faster introduction of self-driving vehicles in addition to increasing road safety. In order to move in this direction, a cooperation project was signed in February to test a self-driving vehicle demand-based transport service coordinated by the University of Tartu.
At the international level, Bercman’s Head of Growth and BD participated in industry fairs in Dubai and in a meeting of the members of the intelligent and autonomous transport systems organisation (CCAM) in Brussels to discuss developments in the field and further activities at the level of the European Union. Negotiations have also started with several car manufacturers to find partners to test the development projects of self-driving and connected vehicles.
Suurkask added: “Three key positions were added to the Bercman team in the first quarter: Head of Growth and BD, Head of Marketing and Communication and Chief Financial Officer.”
Krakul, an IoT and autonomous systems design company and part of the Bercman Group, continued to work with long-term clients and projects. Among other things, Valnes, a locking and security products company expanded into new markets with smart lock systems developed by Krakul; Beautiful Me rollmassage franchise was sold to Australia, and Ampler, an e-bike developer, introduced a new e-bike models with electronics developed by Krakul and opened showrooms in the Netherlands and Switzerland. Krakul exported IoT and autonomous system solutions to Finland, Latvia, Singapore, Switzerland, Germany, and the United States in the first quarter. In addition, the company held negotiations with potential new customers and partners from Estonia as well as international markets.
In the first quarter, Krakul hired a development manager responsible for developing and implementing the company’s product development processes.
Jaan Hendrik Murumets, CEO of Krakul and CTO and member of the management board of Bercman: “In the first quarter, in addition to developing existing customer projects, we made preparations for expansion and finding new customers in international markets. We see future growth in export markets. We also see that the export volumes of our Estonian customers are growing – interest in smart solutions is booming.”
From 11 April, in addition to buses, a self-driving demand-based public transport vehicle will be servicing the Tiksoja, Vorbuse and Kardla region. During April, passengers can order a ride on the self-driving test vehicle of the University of Tartu’s Autonomous Driving Lab by calling 1789.
The self-driving vehicle will be servicing the route in cooperation with the City of Tartu, the University of Tartu and the companies Traffest OÜ, AS Bercman Technologies and Modern Mobility OÜ. “Developing services in cooperation with companies and the university is a great opportunity for the city. Self-driving demand-based vehicles will be a natural part of our public transport system in the future. Therefore, it makes sense to test and develop the technologies with different pilot projects already now,” said Raimond Tamm, Deputy Mayor of Tartu.
According to Tambet Matiisen, Head of Technology at the University of Tartu’s Autonomous Driving Lab, this is the most ambitious self-driving project in Estonia. “For this project, we mapped 66 kilometres of lanes, which is unprecedentedly the largest driving area in Estonia. Within these lanes, we will be able to travel from any point A to B, not just along a fixed route. We will also be able to travel at higher speeds: while self-driving city buses travel at up to 20 km/h, our speed can reach 50 km/h,” said Matiisen. He added that the car does not yet drive completely alone – in addition to the passengers, there is also a security driver and a computer operator. Nevertheless, the vehicle can operate at least 90% of the time without intervention.
“In the modernisation of public transport, it is important that self-driving vehicles also serve passengers in a smart way,” says Tanel Talve from Modern Mobility OÜ, the company developing the demand-based public transport software platform VEDAS.ee. According to Talve, in the future, self-driving cars will follow people’s requests instead of the usual fixed route and schedule. “A smaller number of empty runs will help make the service in the Vorbuse region more convenient, better meet people’s actual mobility needs and reduce the cost of providing the service,” added Talve.
The wider use of self-driving vehicles will require effective interaction between intelligent transport systems and vehicles. “The traffic cycle information received from the traffic light systems will help the self-driving vehicle cross traffic light-controlled intersections and make traffic safer, smoother and more environmentally friendly. We see a growing need for such solutions and want to contribute to innovation in transport,” said Viljar Nurme, CEO of Traffest OÜ, a partner of the City of Tartu.
“This joint project is a good starting point and a breeding ground for the wider use of self-driving vehicles, as we can test the actual interaction of the vehicle with the infrastructure,” said Mart Suurkask, CEO of AS Bercman Technologies, a developer of road safety products. According to Suurkask, the self-driving vehicle will interact with static smart city infrastructure during the test drive. For example, information about a pedestrian waiting to cross the road is passed directly to the car from the smart crossing device. Likewise, when turning onto the road, the car wants to make sure it is safe, and will ask the radar installed and interfaced by Bercman whether there are cars on the road. “This is how our urban space will work in the future – autonomously and mostly based on demand,” said Suurkask.
In April, a five-seater Lexus RX450h will be available, with an operator and security driver travelling with the passengers. The City of Tartu has been testing demand-based public transport in the Tiksoja, Vorbuse and Kardla region since November 2021.

Bercman Technologies, in a joint offer with Krakul, won the procurement of Põlva Rural Municipality for the construction of a smart road solution in the city of Põlva. The aim of the procurement is a smart road solution that, as a set of intelligent transportation systems units, must increase road safety by shaping drivers’ driving habits.
The expected implementation period of the project is June to October 2022. The project works will be carried out in three stages. First, a sketch solution is developed and coordinated. Second, the project is prepared and coordinated with the offices, companies and persons concerning legal requirements. In the project’s final phase, the smart road solution will be built, tuned, and configured.
“I acknowledge the innovativeness and care of Põlva Rural Municipality regarding traffic safety. The smart road to be built in Põlva is Estonia’s first average speed measurement solution in an open environment. I believe that Põlva will be a good example for other cities in Estonia as well as other countries on how to slow the traffic and influence road users to reduce their speed.” said the CEO of Bercman Technologies, Mart Suurkask.
As a result of the procurement, a road section of ~2.7 km with an average speed measurement capacity will be built in Põlva, consisting of 14 smart pedestrian crosswalks. For the proposed smart road section, smart pedestrian crosswalk solutions, which have additional functionality for measuring average speed, will be installed on the crosswalks on Kesk and Jaama streets. These pedestrian crosswalk solutions are equipped with number plate recognition cameras to measure the average speed and have signs with changeable information at the start and endpoints of the smart road section.

The shareholders whose shares represent at least 1/10 of the Company’s share capital may demand the inclusion of additional issues on the agenda of the annual general meeting if the respective demand has been submitted no later than 15 days before the general meeting is held, by submitting the request in writing to the email address mart.suurkask@bercman.com or by sending it to the Company’s address. Upon exercising the above right, the shareholders shall simultaneously with the demand on the amendment of the agenda submit to the Company a draft of the resolution or substantiation regarding each additional issue.

The shareholders may vote electronically on the draft resolutions prepared in respect of the items on the agenda before the meeting in accordance with the following procedure:
1. an electronic vote must be sent to the email address mart.suurkask@bercman.com at the latest one hour before the start of the general meeting indicated in the notice of calling the general meeting. A shareholder has a right to change or cancel the vote or submit an objection at the latest by the above deadline for the submission of the vote;
2. the vote of the shareholder must be submitted by using the respective voting form and must be signed digitally. The voting form to be used by the shareholder for the submission of the vote is available on the website of the Company at: Investor Relations;
3. in case a shareholder is represented at the general meeting by a representative, the following must also be submitted to the email address indicated in section 1 together with the electronic vote or before submitting the electronic vote:
a. in case of an authorised representative – a digitally signed power of attorney and if the shareholder is a legal person, also a copy of the (commercial) register extract of the shareholder or the other documents evidencing the representation right of the person who signed the power of attorney;
b. in case of a legal representative – a copy of the (commercial) register extract of the shareholder or the other documents evidencing the representative’s representation right;
The (commercial) register extract regarding legal person registered abroad must be legalised or certified with an apostille unless provided otherwise in the relevant convention or international agreement. Extracts and other documents which are not in Estonian or in English must be translated into English or Estonian by a sworn translator. The respective original documents must be submitted to the Company at the latest by the deadline for the submission of the electronic vote;
A notarized or written power of attorney replaces a digitally signed power of attorney provided that it has reached the Company at the latest by the deadline for the submission of the electronic vote;
4. the shareholders who have voted on time shall be deemed to have taken part in the general meeting and the votes represented by their shares shall be accounted as part of the quorum of the general meeting, unless otherwise provided by law. If only draft resolutions that were not disclosed before the general meeting are voted on at the general meeting, in respect of which the shareholder did not submit any votes, the shareholder shall not be deemed to have taken part in the general meeting.

Bercman Technologies has installed Smart Pedestrian Crosswalks on Kiltsi road and Tallinn highway in Haapsalu, making it safer to cross unregulated crosswalks on transit routes towards Hiiumaa. The device warns both drivers and pedestrians of danger with a light signal.
According to Innar Mäesalu, deputy mayor of Haapsalu, installing smart crosswalks is part of improving the city’s road safety. “We want traffic in Haapsalu to be as safe as possible for everyone. Kiltsi road and Tallinn highway were chosen primarily based on car traffic on the road. Both roads are transit routes to Hiiumaa and therefore have a lot of traffic, which is why we started to make the crosswalks smarter from there,” explained the deputy mayor.
Mart Suurkask, CEO of Bercman, said these are the first smart crosswalks in Haapsalu, which will help the city to create a more people-friendly and safer environment. “The number of passengers travelling from Tallinn to Hiiumaa increases exponentially in summer and I am glad that the journey to Hiiumaa will be safer for passengers this summer and we can contribute to preventing avoidable road accidents,” added Suurkask.
According to Jaan Hendrik Murumets, Bercman’s Chief Technology Officer, the crosswalks are equipped with cameras, radars and sensors that collect real-time data on what is happening in and around the crossing. “Data on the number of pedestrians, false crossings, air and road surface temperature and many other indicators are displayed graphically in cloud software, making it easy to monitor them at any time,” Murumets said. The data collected can be used by the municipality, for example, to plan road maintenance, monitor traffic and, if necessary, make changes to traffic management and plan other activities to improve urban space.
“In Haapsalu, we are also using battery power for the first time to light the crossing, with batteries being charged from the mains at night when the streetlights are on. This means that the municipality does not need to keep the power on during the day to light the crossing and can save electricity,” Murumets explained.
According to Mäesalu, the city plans to continue installing smart crosswalks. “Next, we want to install a crosswalk on Lihula Road by the elementary school, where there is school-related traffic.”
Bercman’s smart crosswalks are in Tallinn, Tartu, Viimsi and now Haapsalu, with more coming soon to Saue and Saaremaa.

Tehnopoli uus nutikas ülekäigurada märkab sõiduteed vales kohas ületavaid jalakäijaid
Liiklusohutust suurendavate toodete arendaja Bercman Technologies asendas Tehnopoli linnakus oma senise nutika ülekäiguraja uue, edasi arendatud versiooniga. Masinnägemisel põhinev süsteem teavitab autojuhti valgussignaaliga, kui ülekäigurajale läheneb jalakäija ning kogub andmeid autode ja jalakäijate kohta.
Esimese nutika ülekäiguraja pilootversioon paigaldati Tehnopoli linnakusse paari aasta eest, ent nüüd paigaldati uue generatsiooni seade, mis võimaldab koguda rohkem eri tüüpi andmeid ülekäigurajal ja selle vahetus läheduses toimuva kohta.
Bercmani tegevjuhi Mart Suurkase sõnul on nutika ülekäiguraja peamine eesmärk suurendada liiklusohutust reguleerimata ülekäigurajal ja ennetada liiklusõnnetusi. “Seega täidab see oma põhiülesannet – annab pimedal ajal autojuhile valgussignaaliga märku, kui sebrale läheneb jalakäija. Aga Bercmani eesmärk on liikuda targa linna lahenduste suunas, seetõttu loob nutikas ülekäigurada võimaluse teha andmete põhjal paremaid otsuseid liikluse korraldamiseks. Seade kogub anonüümseid andmeid, näiteks infot liiklejate sageduse, kiiruse, sõidukite tüübi ja kiiruse kohta. Kogutud andmete põhjal saab analüüsida teehoolde vajadust, liikumismustreid ning plaanida ennetustöid linnaku liikluses,” selgitas Suurkask. Tema sõnul suudab seade eristada sõiduautot, bussi, veokit, lisaks kogutakse keskkonnaandmeid – õhukvaliteeti, temperatuuri ja õhurõhku.
Liiklusõnnetuste ärahoidmisel on oluline mõista inimlikku faktorit, seetõttu soovib Bercman kaardistada ka jalakäijate käitumist. “Tehnopoli uuendatud nutikas ülekäigurada “näeb” ka seda, mis toimub lähiümbruses sõiduteel. Nii saame andmeid koguda ka selle kohta, kui suur osa inimesi kipub üle tee minema vales kohas ja analüüsida, mis võib olla põhjus,” selgitas Suurkask. Kõik kogutavad andmed koondatakse Tehnopoli linnaku enda haldussüsteemi.
Teadus- ja ärilinnaku Tehnopol kinnisvarajuht Tarmo Loog ütles omalt poolt, et Tehnopoli eesmärk on toetada maailmamuutvat innovatsiooni ja testlinnakuna pakub Tehnopol koostööpartneritele ainulaadset võimalust. “Eestis pole palju selliseid kohti, kus ettevõte saab reaalses linnakeskkonnas testida oma toodet või teenust. Tehnopol on testlinnaku võimalust pakkunud juba kümmekond aastat. Meil on hea meel teha koostööd Bercmaniga, kelle lahendus on linnakus soojalt vastu võetud. Nutika ülekäiguraja värsked lisandused loovad meilegi uusi võimalusi neid andmeid analüüsida ning nende alusel vajalikke muudatusi teha.”

01.02.2022 AS Bercman Technologies, the University of Tartu, Tartu Linnatransport, Traffest OÜ and Modern Mobility OÜ signed a cooperation agreement. The aim of the agreement is to test the use of self-driving vehicles in the provision of on-demand transport services and to validate the necessary technological solutions and processes. Preparatory work and testing of solutions and processes will take place between February and April this year.
Bercman’s task in the collaborative project is to install radars on the trajectory of the self-driving vehicle and interface the radars with the self-driving car’s control system. Bercman is also interfacing the vehicle control system with the first 5G smart pedestrian crosswalk system on Kroonuaia Street in Tartu.
Mart Suurkask, CEO of Bercman Technologies: “Bercman’s mission is to accelerate the progress towards self-driving vehicles in order to eliminate all avoidable fatalities. Self-driving vehicles will be common on our roads one day, and today, preparations for that are taking place in Estonia and around the world. The project, coordinated by the University of Tartu, will bring together specialists and technical expertise in their fields. As this is a test of a self-driving vehicle for the provision of on-demand transport service and testing the necessary technological solution, the precise impact on Bercman’s business cannot be assessed at this stage. However, the successful completion of the test period is expected to have a positive impact on the further development of on-demand transport services via self-driving vehicles, and thereby increase the demand for self-driving vehicles interacting with transport infrastructure.
Extraordinary General Meeting of Bercman Technologies, a Nasdaq First North listed deep-tech company developing traffic safety solutions approved the acquisition of Krakul, Estonia’s leading IoT and autonomous systems development company. Altogether 17 shareholders of Bercman participated at the extraordinary general meeting of shareholders, the shares held by them represented 78.9% of all the votes represented by shares.
Kuldar Leis, Chairman of the Supervisory Board of Bercman Technologies, was very satisfied with the resolution. “We are pleased that Bercman’s shareholders supported the decision and saw that Bercman can achieve its business goals and increase value quicker with Krakul,” said Leis.
Mart Suurkask, Chairman of the Management Board of Bercman, added that now companies can start jointly developing and marketing new services in the field of autonomous systems and intelligent traffic solutions. “Krakul is the number one engineering office in Estonia and so far we have had excellent cooperation with them. We now have all the competencies within the group to bring the smart solutions of the future to the market faster,” added Suurkask.
Krakul’s CEO Jaan Hendrik Murumets will now join Bercman’s management board in addition to leading Krakul and will lead the engineering team as CTO. “Our aim has always been to make big and cool projects in Krakul that benefit our customers and end-users. Joining Bercman gives us access to new markets, customers, and the opportunity to do big international projects – so in a sense we are now even more in Krakul than before,” said Murumets.
Bercman shares shall pay for the acquisitions. Bercman’s extraordinary general meeting approved the conclusion of the transactions and permitted an increase of share capital and the issuance of new shares to pay for the acquisition.
Krakul will continue its independent economic activities, including research and development, and the company’s management will remain the same.

Bercman and Krakul’s parent company (Krakul Holding OÜ) concluded a conditional swap for a share of Krakul and shares of Bercman Technologies so that Bercman would acquire 100% shares of Krakul. The acquisition shall be paid for by Bercman shares. The transaction shall be completed if Bercman’s extraordinary general meeting approves the conclusion of the transactions and permits an increase of share capital and the issuance of new shares to pay for the acquisition. Bercman’s extraordinary general meeting will take place on 1st December, 2021.
Krakul will continue its independent economic activities, including research and development, and the company’s management will remain the same. Upon completion of the transaction, Murumets will join Bercman’s Management Board and will be responsible for the work of the Engineering Department as Chief Technology Officer.
Esmaspäeval, 14. juunil algab Nutikaid Ülekäiguradasid arendav ettevõtte AS Bercman Technologies aktsiate esmane avalik pakkumine Nasdaq Tallinn AS alternatiivturul First North. Pakkumise raames soovib ettevõte kaasata 680 000 eurot.
Ettevõtte juht ja asutaja, Mart Suurkask, sõnas, et neli aastat tegutsenud ettevõte on seni pannud rõhku põhitoote Nutika Ülekäiguraja kontseptsiooni arendamisele, ennetamaks ja ära hoidmaks välditavaid liiklusõnnetusi. “Oleme välja töötanud masinnägemisel põhineva Nutika Ülekäiguraja, millega oleme valmis sisenema välisturgudele. 2021. aasta üheks eesmärgiks on müügistrateegia arendamine ja väliste partnerlussuhete loomine, millega oleme nüüdseks ka jõudsalt alustanud. Hetkel on meil käimas läbirääkimised ja aktiivne suhtlus Horvaatia, UK, Kreeka, Saksamaa ja Hispaania turgudega. UK-sse oleme esimese seadme tarninud ning järgmisel nädalal saadame seadmed Horvaatia poole teele sealsele suurimale telekomi operaatorile A1. Müügivõimekuse kasvades soovib Bercman siseneda ka teistesse Lääne ja Kesk-Euroopa riikidesse (sh Belgiasse, Sloveeniasse, Slovakkiasse, Prantsusmaale, Hollandisse ning Tšehhi), kus samuti läbirääkimised võimalike partneritega täna juba käivad.”.
Ettevõtte aktsiate esmase avalikust pakkumisest rääkides lisas Mart: “Ettevõtte ambitsioonid on suured ja plaanime IPO raames kaasatud raha investeerida ettevõtte kasvu. Arendame edasi olemasolevaid ja uusi tooteid ning investeerime eksporditegevuste laiendamisse läbi rahvusvaheliste edasimüüjate.”
Ettevõtte nõukogu esimees ja aktsionär Kuldar Leis lisas: “Võimalus kaubelda aktsiatega Nasdaq Börsil toetab meie visiooni saada eelistatuimaks partneriks globaalsel intelligentsete transpordisüsteemide ja targa linna innovatiivsete lahenduste turul.” Mitu ettevõtet börsile viinuna kinnitab Kuldar: “Nasdaq on välispartneritega suhtlemisel oluliseks kvaliteedimärgiks, tõstes seeläbi ettevõtte läbipaistvust ja usaldusväärsust.”
Meeskonnaga hiljuti liitunud Cleveroni endine müügijuht Reio Orasmäe lisas: “Meil on paika pandud selleks aastaks konkreetne müügistrateegia ja tegevuskava müügivõrgustiku arendamiseks. Kavatseme müügikäivet märkimisväärselt suurendada selliselt, et aastaks 2024 jõuaks Bercman 4,5 miljoni eurose käibeni”. Lisaks lisas Reio, et Intelligentsete Transpordisüsteemide koguturu mahuks aastal 2020 oli ligi 15 miljardit eurot, mis aastaks 2025 oodatavalt kahekordistub: “Tegu on kiirekasvulise turuga ja prognoositakse aastaseks liitkasvumääraks rohkem kui 15%. Bercman on aktiivne turu suurimas ehk arenenud liikluskorraldussüsteemide turusegmendis, mis moodustab 38% kogu turust.”
Ettevõte asub Tartus, kus tegutseb 10-liikmeline optsioonidega varustatud meeskond. Lisaks põhitootele arendab Bercman Technologies Nutikat Mobiilsuskeskust ehk interaktiivset infosüsteemi transporditeenuse pakkujatele nõudepõhise ühistranspordi võimaldamiseks. “Isejuhtivate sõidukite maastikul on äärmiselt põnevad ajad ning püüame omalt poolt kaasa aidata ühendatud- ning isejuhtivate sõidukite kiiremaks kasutuselevõtuks. Selge on see, et üleminek täielikult autonoomsele liikluskeskkonnale võtab veel aega, aga juba ka vahepealsetel arengutel on suur potentsiaal keskkonna ohutumaks ja mugavamaks muutmisel,” kirjeldas Mart valdkonna arenguid ning tõi näited ettevõtte senisest tegevusest: “Bercmani tiimiga on meil au olnud toetada Tartu Ülikooli isejuhtivate sõidukite laborit, kes arendab Boltiga koostöös isejuhtivat sõidukit. Seadsime üles sensori ringristmikule, mis annab isejuhtivale sõidukile infrastruktuuri poole pealt teada, kas ringristmikul on autosid või mitte. Samuti on 2021 teises poolaastas meil ees mitmeid huvitavaid projekte. Näiteks koostöös Hamburgi Ülikooliga arendame Targa Ülekäiguraja lahendust õnnetusjuhtumite ennetamiseks. Kohaliku Hamburgi automatiseeritud ja ühendatud sõidukite testrajal demonstreerime ohutussõnumite saatmist sõidukitesse, kui oht meie poolt tuvastatakse.”
Ettevõte viib aktsiad Tallinn First North alternatiivturule, kus pakkumise käigus emiteerib ettevõte kuni 200 000 aktsiat. Suure huvi korral suurendatakse aktsiate pakkumist kuni 240 000 aktsiani. Ühe aktsia hinnaks on 3,4 eurot, millest 10 senti on nimiväärtus ja 3,3 eurot ülekurss. Märkida saab ainult täisarvu aktsiaid.
Märkimisperiood kestab 14. juunist kuni 22. juunini. Kokku loodab ettevõte investoritelt kaasata kuni 680 000 eurot või suure huvi korral kuni 816 000 eurot. Pakkumisel saavad osaleda Eesti investorid. Peale märkimisperioodi lõppu noteeritakse aktsiad First Northi alternatiivbörsil.
